1. Definitions
- “We”, “us”, “our” means ResolvD Limited
- “You”, “your”, “Customer” means the individual or organisation purchasing services from us
- “Services” includes managed IT services, hosting, domain registration and renewal, email services, support, monitoring, and related services
2. Acceptance of Terms
By purchasing or using our Services, you agree to these Terms and Conditions. If you do not agree, you must not use our Services.
3. Services
We provide services including (but not limited to):
- Managed IT and MSP services
- Web and email hosting
- Domain name registration and renewal
- Monitoring, support, and advisory services
Unless otherwise agreed in writing, Services are provided on a reasonable care and skill basis, not a guaranteed outcome basis.
4. Pricing and Invoicing
- All prices are in NZD unless stated otherwise and exclude GST unless specified.
- Invoices must be paid by the due date shown on the invoice.
- Pricing may change with reasonable notice.
5. Late Payment and Non-Payment
If payment is not received by the due date:
- Reminder notices may be issued
- We reserve the right to suspend or terminate Services, including hosting and MSP services
- Domain renewals may not be processed, and domains may be allowed to expire
- Restoration of suspended services may incur additional fees
We accept no liability for loss or disruption caused by suspension, termination, or domain expiry resulting from non-payment.
6. Domain Names (Including .nz Domains)
6.1 General
- Domain services are provided via third-party wholesalers and registries.
- Domain availability, renewal, transfer, and recovery are subject to registry rules.
- You are responsible for ensuring renewal invoices are paid on time.
6.2 .nz Domains
- .nz domains are governed by InternetNZ / Domain Name Commission (DNC) rules.
- Expiry dates are strict and enforced by the registry.
- Once a .nz domain expires, it may enter suspension or be released for public registration.
- Recovery after expiry is not guaranteed and may not be possible.
6.3 Liability
We are not responsible for:
- Loss of a domain due to non-payment
- Registry actions outside our control
- Delays or failures caused by wholesalers or registries
7. Suspension and Termination
We may suspend or terminate Services immediately if:
- Invoices remain unpaid
- Services are used unlawfully or abusively
- Continued provision creates security or operational risk
Termination does not remove your obligation to pay outstanding invoices.
8. Managed Services & Support
- MSP services are provided during agreed support hours unless otherwise specified.
- We do not guarantee uninterrupted service or zero downtime.
- You are responsible for licensing compliance unless explicitly managed by us.
9. Data and Backups
- Unless explicitly agreed, you are responsible for maintaining backups.
- While we take reasonable precautions, we do not guarantee data integrity or availability.
- We are not liable for data loss, corruption, ransomware, or downtime.
10. Limitation of Liability
To the maximum extent permitted by New Zealand law:
- We are not liable for indirect or consequential loss.
- Our total liability is limited to the fees paid for the affected service in the previous 12 months.
Nothing in these Terms limits rights under the Consumer Guarantees Act 1993, where applicable.
11. Consumer and Business Use
If Services are acquired for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply, as permitted by law.
12. Changes to Terms
We may update these Terms from time to time. Updated Terms will be published on our website and apply from the date of publication.
13. Governing Law
These Terms are governed by the laws of New Zealand.
